ABOUT CIGNAL PLAY

1. Cignal Play ("Cignal Play", "the App", "the Service", "our Service") is a digital streaming and content platform operated by CIGNAL TV, INC. ("CIGNAL TV"), providing users access to live television channels, sports content, pay-per-view events, movies, series, catch-up content, on-demand programming, applications, information, and other audiovisual content through supported devices.

2. Cignal Play combines and succeeds the former Cignal Play V 2.6.8 and Pilipinas Live services into a unified streaming platform. Existing users of either service may be migrated into the unified platform subject to these Terms and Conditions.

3. Through the Cignal Play user interface, users may access:

   1. Live TV channels;

   2. Sports events and leagues;

   3. Pay-per-view events;

   4. Movies and entertainment content;

   5. On-demand content;

   6. Promotional and bundled content;

   7. Third-party streaming and partner content;

   8. Other digital content and services made available from time to time.

4. Because of the way Cignal Play is set up:

   1. Your viewing device and its functionality remain the responsibility of the device manufacturer and are subject to the manufacturer's terms and policies;

   2. CIGNAL TV provides access to content through the Cignal Play user interface;

   3. Content availability, scheduling, and programming may be determined by CIGNAL TV and/or its content licensors, rights holders, broadcasters, leagues, studios, distributors, and other content providers;

   4. Due to licensing, territorial restrictions, and commercial agreements, certain content, subscription plans, channels, sporting events, or features may only be available in specific locations and may vary by device, territory, or subscription plan.

ACCOUNT ELIGIBILITY

1. By creating a Cignal Play account, you represent that you are at least thirteen (13) years old or are using the Service with the consent and supervision of a parent or legal guardian.

2. In compliance with applicable privacy laws, CIGNAL TV reserves the right to suspend or terminate accounts that do not satisfy applicable age requirements.

ACCOUNT MIGRATION FOR EXISTING SUBSCRIBERS AS OF JULY X, XXXX

1. Existing subscribers of the former Cignal Play V 2.6.8 and Pilipinas Live services may be migrated to the unified Cignal Play platform.

2. During migration, subscription entitlements, viewing history, profiles, account information, and other applicable service features may be transferred to the new platform.

3. Users may be required to update their application, accept updated terms, verify account information, or relink payment methods as part of the migration process.

SUBSCRIPTION PLANS

1. CIGNAL TV may offer various forms of access including:

   1. Free or ad-supported access;

   2. Subscription plans;

   3. Pay-per-view purchases;

   4. Add-on packages;

   5. Promotional access;

   6. Partner or bundled subscriptions;

   7. Any combination of the foregoing.

2. Subscription plans may differ in content availability, supported devices, simultaneous streams, geographical availability, advertising experience, features, and pricing.

3. Certain subscription plans may be offered through telecommunications partners, internet service providers, device manufacturers, corporate partners, or other authorized distribution channels.

PARTNER AND BUNDLED SUBSCRIPTIONS

1. Access to Cignal Play may be included as part of a bundled offer, partner subscription, broadband service, mobile service, television subscription, rewards program, or other commercial arrangement.

2. Eligibility, duration, entitlements, and renewal terms for bundled subscriptions shall be governed by both these Terms and any applicable partner-specific terms.

3. Certain features or content may be restricted based on the specific partner package subscribed to by the user.

PAY-PER-VIEW EVENTS

1. Certain sporting events, concerts, special broadcasts, and premium content may be offered on a pay-per-view basis.

2. Access rights purchased for a pay-per-view event are limited to the event purchased and do not constitute a recurring subscription unless otherwise stated.

3. Availability of pay-per-view events may be subject to territorial restrictions and rights limitations.

USER GENERATED CONTENT AND COMMUNITY STANDARDS

1. The Service may allow you to communicate, submit, upload or otherwise make available text, images, audio, video, contest entries or other content ("User Generated Content"), which may be accessible and viewable by the public. Access to these features may be subject to age restrictions. You may not submit or upload User Generated Content that is defamatory, threatening, abusive, divisive, hateful, violent, vulgar, obscene, pornographic, or otherwise harmful or offensive or that may be defamatory or offensive to any person or entity, whether or not such material is protected by law.

2. We do not claim ownership of your User Generated Content; however, you grant us a non-exclusive, sublicensable, irrevocable, royalty-free worldwide license under all copyright, trademark, patent, trade secret, privacy and publicity rights and other intellectual property rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment, modify, adapt, translate, create derivative works from, publicly perform, make available and otherwise exploit such User Generated Content, in whole or in part, in all media formats and channels now known or hereafter developed (including in connection with Cignal and/or MediaQuest products and third-party sites and platforms), in any number of copies and without limitation as to time, manner and frequency of use, without notice to you, with or without attribution, and without any necessary consent from you or compensation to you or any other person or entity.

3. You represent and warrant that your User Generated Content complies with these terms and that you own or have the right and permission, without payment to any other person or entity, to use and exploit, and to authorize us to use and exploit, your User Generated Content in all of the ways contemplated by these terms. You agree to indemnify and hold us and our subsidiaries and affiliates, and each of their respective employees and officers, harmless from any claims, losses, liabilities, demands or expenses (including attorneys' fees), made against us by any third party arising out of or connected with our use and exploitation of your User Generated Content. You also agree not to assert any moral, ancillary or similar rights in or with respect to the User Generated Content against us or our licensors, distributors, agents, representatives and other authorized users, and you agree to obtain the same agreement from others who may have such rights.

4. To the extent we permit you to create, post, upload, distribute, publicly display or publicly perform User Generated Content that requires the use of our copyrighted works, we grant you a non-exclusive license to create a derivative work using our copyrighted works for the purpose of creating the materials, provided that we grant that license only if you assign to us all of your rights in the work you create. If we do not assign such rights, your license to create derivative works using our copyrighted works will terminate.

5. We have the right but have no obligation to monitor, screen, post, remove, modify, store and review User Generated Content or communications transmitted through the Service, at any time and for any reason, including to ensure that User Generated Content or communications comply with these terms, without prior notice to you. We are not responsible for, and do not endorse or guarantee, opinions, views, advice or recommendations posted or transmitted by users.

6. We uphold a Zero-Tolerance Policy regarding objectionable content and abusive behavior. You agree not to post, upload, or transmit content that is unlawful, threatening, abusive, defamatory, or libelous; promotes hate speech, discrimination, or severe violence; or contains pornography or sexually explicit material.

BILLING, PAYMENTS, REFUNDS AND CANCELLATIONS

1. CIGNAL TV automatically renews your CIGNAL PLAY subscription at the end of every Billing Period unless you have cancelled it. Payment shall be automatically billed and charged to the payment method you have chosen during (a) your registration, or (b) every start of your Billing Period.

2. CIGNAL TV shall bill you of the amount corresponding to your chosen CIGNAL PLAY subscription plan. Billing and payment shall be at the beginning of your subscription period. Then we shall automatically and continuously bill and charge you either weekly or monthly, depending on your chosen mode of payment, unless you have cancelled your subscription.

3. You can opt from various payment methods such as debit card, credit card, internet banking that may be made available on the App during their registration ("Payment Methods") for payment of the Subscription Fees.

4. You will be billed as per their selected subscription plan and via the Payment Method elected by them at the time of registration. Any changes in the Subscription Plan opted by you is effective only after the expiry of the current Subscription period for which You have already been billed. Accordingly, the Subscription as per your revised plan shall be effective only after the expiry of the current Subscription period.

5. The selected subscription plan may automatically commence at the end of the special introductory period, if applicable, unless the user cancels the Subscription before the end of the special introductory period.

6. The Subscription Fee specified for each Subscription plan is inclusive of applicable taxes for Subscribers and subject to the applicable laws. Further, the Subscription Fees paid to CIGNAL PLAY for availing the Services are final and/or non-refundable as specified below.

7. CIGNAL TV will be using third party payment gateways to process and facilitate the payment of users Subscription Fee to CIGNAL PLAY and may offer different kinds of Subscription plans, each of these Subscription plans being subject to different limitations and restrictions and the cost of each of these Subscription plans may vary. On successful Registration CIGNAL will send a confirmation of subscription through your email.

8. You further understand and acknowledge that CIGNAL PLAY App only facilitates the third-party payment gateway(s) used for processing payments. This facility is fully managed by the third-party payment gateway provider(s) and users are required to follow all the terms and conditions of such third-party payment gateway provider(s).

9. You are responsible for the accuracy and authenticity of the information provided to third- party payment gateways, including the bank account number/credit card details and the like. You agree and acknowledge that CIGNAL PLAY and CIGNAL TV shall not be liable and in no way be held responsible for any losses whatsoever, whether direct, indirect, incidental or consequential, including without limitation any losses due to delay in processing of payment instruction or any credit card fraud.

10. CIGNAL TV may, at any time, introduce different kinds of offers, or rewards, or benefits or plans for the use and avail of the Services of the App, each being subject to different limitations and restrictions. Terms and Conditions at sole discretion of CIGNAL TV.

11. Payment for your weekly or monthly subscription plan shall not be refundable or creditable back to you, regardless if your subscription is cancelled even before the end of the current Billing Period. After cancellation, you can still continue to enjoy the services and contents in CIGNAL.

12. CIGNAL TV allows you to cancel your subscription for CIGNAL PLAY at any time during your current subscription or anytime during the special introductory period ("Offer"). Refunds or partial refunds will be provided per CIGNAL PLAY's refund policy and may vary depending on the terms and conditions of cancellation.

INTELLECTUAL PROPERTY AND ANTI-PIRACY

1. To use the CIGNAL PLAY, you hereby acknowledge that CIGNAL TV employs, maintains, and enforces efficient and effective access system, content security / protection, other security / protection features, and the related physical security and operational procedures.

2. Further:You agree that Piracy is prohibited by law, and that you will not engage in the manufacture, use, distribution or transfer of counterfeit, pirated or illegal content or products.

3. You will cooperate and report to CIGNAL TV, as soon as you become aware, any suspected counterfeiting, piracy or other intellectual property infringement related to CIGNAL PLAY and or other products of CIGNAL TV and its Affiliates.

4. You consent that CIGNAL TV reserves the right to take the necessary legal measures (the "Safety Measures") in protecting its products / services, and in prosecuting those who engage in Piracy.

5. You agree that CIGNAL TV may introduce to CIGNAL PLAY any and all Safety Measures to detect an act or combination of acts of Piracy, such as (a) unauthorized downloading, exporting, copying, distribution and streaming of any audio-visual content in CIGNAL PLAY, and (b) use of the CIGNAL PLAY trademark including logos, artworks, tradenames and other marks proprietary to CIGNAL TV.

6. You consent that all data collected through the Safety Measures may include, without limitation, user, device, and network identification information such as, but not limited to, email address, username, hostname, MAC address, IP address, Wi-Fi SSID, geolocation and organization domain information, as well as information on usage of CIGNAL PLAY.

PRIVACY

1. The collection, processing, storage, and protection of personal information shall be governed by the Cignal Play Privacy Notice and applicable laws including the Data Privacy Act of 2012.

TERMINATION

1. These additional terms will continue to apply until terminated by either you or CIGNAL TV as set out below.

2. CIGNAL PLAY reserves the right to terminate or modify the Special Introductory Price offer, regular premium subscription offer, basic layer access, or any add-on features at its sole discretion, without any liability to you. In such cases, the app will provide prior notice to the affected subscribers regarding any changes or termination of the promotional offer or access to basic layer content.

3. If you want to terminate your agreement with CIGNAL TV under these additional terms, you may do so by cancelling your subscription. Unless you have cancelled your subscription, you will remain to be billed, if applicable, for the use of the CIGNAL PLAY regardless of your activity or inactivity.

4. CIGNAL TV may at any time, terminate your right to use CIGNAL PLAY if: (a) you have violated any provision of the Terms; or (b) CIGNAL TV is required to do so by law; or (c) CIGNAL TV decides to no longer provide/ maintain CIGNAL PLAY service.

5. When the contract governed by the Terms terminates, all of the legal rights, obligations and liabilities that you and CIGNAL TV have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation.

DISCLAIMER OF WARRANTIES

1. You expressly understand and agree that your use of CIGNAL PLAY and any services purchased or otherwise obtained through the use of CIGNAL PLAY is at your sole risk and that CIGNAL PLAY is provided "as is" and "as available" without warranty of any kind, to the maximum extent permitted by law.

2. Your use of CIGNAL PLAY and any services purchased or otherwise through the use of CIGNAL PLAY is at your own discretion and risk and you are solely responsible for any damage to your computer system or loss of data that results from such use.

3. To the maximum extent permitted by law, CIGNAL TV further expressly disclaims all warranties terms or conditions of any kind, whether express or implied, including, but not limited to any implied warranties terms and conditions of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement, with respect to any services purchased or otherwise obtained through CIGNAL PLAY.

4. None of the services are intended for use in the operation of nuclear facilities, life support systems, emergency communications, aircraft navigation or communication systems, air traffic control systems, or any other such activities in which case the failure of the products could lead to death, personal injury, or severe physical or environmental damage.

LIMITATION OF LIABILITY

1. CIGNAL TV shall not be liable to you for any direct, indirect, incidental, special consequential or exemplary damages that may be incurred by you through your use of CIGNAL PLAY or any services purchased or otherwise obtained from CIGNAL PLAY, including any loss of data, whether or not CIGNAL TV or its representatives have been advised of or should have been aware of the possibility of any such losses.

2. CIGNAL TV and you: By signing up to use the CIGNAL PLAY service and agreeing to these Terms, you are entering into a legally binding agreement with CIGNAL TV, and accept full responsibility for the use by you, anyone else in your household, and any third party, of your Viewing Device and/or the CIGNAL PLAY received through your Viewing Device. If you do not agree to these Terms, your permission to access or use the CIGNAL PLAY service is automatically and immediately revoked and you must discontinue the use of the CIGNAL PLAY.

GOVERNING LAW

1. These Terms shall be governed by the laws of the Republic of the Philippines. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Mandaluyong City, Metro Manila, Philippines.

ACCEPTANCE OF TERMS

1. By creating an account, accessing content, purchasing a subscription, purchasing a pay-per-view event, redeeming a bundled entitlement, or otherwise using the Service, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
